the whole of these terms must be read by a lawyer before the site is public, in both languages. The clauses that need real legal drafting are marked individually below.
These terms are also available in Hindi, to help you understand them. If the Hindi and the English ever say different things, the English text is the one that applies. confirm the "English governs" clause is enforceable in India for a business customer who read and relied on the Hindi version, and confirm the wording.
These are the terms between you and LD SOLUTIONS, a proprietorship owned by Lawanya RPP, based in Bengaluru, Karnataka, India ("we", "us"), for the BakiCheck software, app and website ("BakiCheck"). By creating an account you agree to them. They are written to be read in ten minutes. If anything is unclear, ask us before you agree, not after.
The service
BakiCheck is a subscription software product for FMCG distributors in India. With your permission, it reads order messages your shops send to your own WhatsApp Business number. It writes them up as orders against your own product list and prices. It shows you what each shop owes you. It keeps a hisaab of bills, payments and baki per shop. You review and approve every order. BakiCheck does not place, confirm, deliver or invoice an order on its own.
Your account
- You must be 18 or over and acting for a business.
- You are responsible for what is done under your login, and under any salesman or staff login you create. Keep the codes private.
- Give us accurate business details. We rely on them for invoices and for the WhatsApp connection in your name.
Your WhatsApp number
- The WhatsApp Business number you connect must be yours, or one you are allowed to connect. You confirm that when you connect it.
- The connection is made on Meta’s own permission screen. It is subject to Meta’s terms, which you accept there, and to Meta’s rules for connected software, which we show you before you connect (broadcast lists read only, Web and Desktop unlinked, open the app once every 13 days).
- You can disconnect at any time, from the app or from your Meta Business settings. We stop receiving messages at once.
- Your shops are your customers. You are responsible for your relationship with them, and for any notice you choose to give them about using software to read their orders. confirm whether any notice to shops is required under DPDP and, if so, provide the wording.
Fees, caps and overage
- Plans and prices are on the pricing page and are part of these terms. Prices are plus GST.
- Each plan includes a number of WhatsApp orders read per month. Above that, extra orders cost ₹2.50 each, in blocks of 500. Each plan has a hard ceiling. At the ceiling we stop reading new WhatsApp orders for the rest of the month and tell you in the app. You can always enter orders by hand.
- You pay monthly or yearly in advance. A yearly plan is not refunded if you cancel early, except where the law requires it. confirm this is enforceable in India.
- If we change a price, it applies from your next renewal, and we write to you at least 30 days before. We do not change the price of a period you have already paid for.
- If a payment fails, we tell you and give you 7 days to fix it before the account is paused. A paused account keeps its data for 30 days. Then it is treated as closed.
Accuracy, and what you are responsible for
BakiCheck turns spoken and typed messages into order lines. It will sometimes be wrong: a wrong product, a wrong quantity, a wrong shop. That is why every line shows its state (Ready, Please check this, Not recognised, Quantity missing, Unit unclear), why uncertain lines are never promoted without your tap, and why the shop’s own audio is attached to each line. You are responsible for checking every order before you confirm it, and for the goods you then supply. The baki answer is computed from the balances, bills and payments you entered. If those are wrong or old, the answer will be wrong or will be withdrawn. You are responsible for keeping them current. draft this accuracy clause properly and make it enforceable in India.
Your data
- Your business data is yours. We use it only to provide BakiCheck, as the privacy policy says.
- Each distributor sees only his own data. We never share your data with another customer.
- You can ask for a copy of your orders, shops and baki at any time, with no notice period, and you will get it.

Cancellation
- You can cancel from inside the app at any time. No notice period, no exit fee, no phone call required.
- On cancellation, your account runs to the end of the paid period, then closes. Within 30 days of closing, everything is deleted and we confirm it in writing. Ask for a copy of your data before then if you want one.
- We may close an account that is used to break the law, to abuse our staff, or to attack the service, and we will say why. draft the grounds for suspension and closure.
What we do not promise
- We do not promise that every order will be read correctly. We promise to show you when we are unsure.
- We do not promise that a shop will pay you. BakiCheck shows you what he owes. The decision to supply is yours.
- We do not promise that the WhatsApp connection will always be available. It depends on Meta’s platform, Meta’s verification of our business, and Meta’s rules. We control none of these. If the connection is unavailable, the app keeps working for orders you enter by hand. As of the date above, the WhatsApp connection is not yet live.
- We do not promise any particular uptime percentage. We are a small business. We promise to tell you when something is down and when it is back.

Liability
to be drafted properly. The intent, in plain words: our total liability to you in any twelve months is limited to the fees you paid us in those twelve months; we are not liable for goods you supplied, credit you gave, or money a shop did not pay; nothing here excludes liability that the law does not allow to be excluded. The cap must be made enforceable in India. The Hindi version must then be drafted from the final English, not from the current line.
Governing law
These terms are governed by the laws of India. Courts at Bengaluru have jurisdiction. LD has chosen Bengaluru. Confirm the jurisdiction clause names the right courts and is enforceable against a business customer elsewhere in India.
